Press: 01.02.12: -1.62, (10.63) Press: Synchronica fell after news that an offer for the company from Myriad, a developer of embedded software, had yet to be agreed. The offer entitled holders of 100 Synchronica shares to 4.67 new Myriad shares and valued Synchronica, which provides messaging software for low-end smartphones, at approximately GBP20.6m. Northland Capital noted that the offer represented an 89 per cent premium over the 60-day volume-weighted average share price before the announcement of the initial approach on January 3, but a discount to the prevailing price in 2011 and the placing price of 16p around the acquisition of assets from Nokia in July of that year.Northland reckoned there was a good strategic rationale for the acquisition, with Myriad providing a broader product platform, complementary operations and a number of customers in common. Myriad is also larger (half year revenue of $35m) and has a stronger balance sheet (circa $25m) that would help Synchronica exploit the sales opportunity. Source - Financial Times
